Blake Morgan advises on merger of leading property and construction consultancy firm Henry Riley
Leading law firm Blake Morgan advised on the merger of UK-based construction Project Management and Quantity Surveying firm Henry Riley with TSA Management (TSA), an Asia-Pacific Project Management and Advisory consultancy backed by Quadrant Private Equity.
Blake Morgan advised on the restructuring of Henry Riley’s business in the UK and Australia to support the transaction and guided the partners of Henry Riley on the restructure process in relation to the complex cross-border transaction with TSA. Blake Morgan worked closely alongside Stewart Lambert, Jack Griggs and Phil Snell of James Cowper Kreston, who advised on the Corporate Finance and Tax elements of the transaction.
A cross-departmental effort from Blake Morgan’s Southampton office led by Corporate Partner Mathew Wilson assisted by solicitor, Jodie Grove, saw a team of corporate, employment, pensions, property, and tax experts oversee the transaction. This deal marks TSA’s first expansion beyond the Asia-Pacific region since its establishment in 2001.
With over 130 years of experience trading in the UK across 9 locations, Henry Riley has built up a roster of big-name clients, including Bupa, Amazon, Ikea and the NHS, and it sought a partnership with TSA to expand its reach and to broaden and enhance its service offering.
Together, the two firms now have almost 850 employees globally, with a broad service offering across Project Management, Advisory (including Carbon Advisory) and Quantity Surveying.
